Mixflow AI Terms and Conditions
Last updated: February 8, 2026
1. Introduction
These Terms and Conditions (“Terms”) govern Your use of the Mixflow AI software service (“Service”), including the website at
www.mixflow.ai, all related features, content, and applications, provided by LLL Ventures, LLC (“Company,” “we,” “us,” “our”). Please read these Terms carefully before using the Service.
BY USING THE SERVICE IN ANY MANNER, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY, WHICH IS INCORPORATED INTO THESE TERMS BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.
By using the Service, You represent and warrant that You have the full authority to agree to and be bound by these Terms. If You sign up for the Service on behalf of an organization using an email address provided by Your employer or another organization, (i) You represent and warrant that You are an authorized representative of that entity with authority to bind that entity to these Terms; (ii) Your use of the Service will bind that entity to these Terms; and (iii) “You” and “Your” in these Terms will refer to both You and that entity.
As used in these Terms, “Third-Party Social Media Service” means any third-party service through which You may log in to the Service, such as Google or GitHub.
2. Subscriptions
2.1 Subscription Period
The Service or some parts of the Service are available only with a paid Subscription. You will be billed in advance on a recurring and periodic basis (such as monthly or annually), depending on the type of Subscription plan You select when purchasing the Subscription.
At the end of each period, Your Subscription will automatically renew under the exact same conditions unless You cancel it or the Company cancels it.
2.2 Subscription Cancellations
You may cancel Your Subscription renewal either through Your Account settings page or by contacting the Company. You will not receive a refund for the fees You already paid for Your current Subscription period and You will be able to access the Service until the end of Your current Subscription period.
2.3 Billing
You shall provide the Company with accurate and complete billing information including full name, address, state, zip code, telephone number, and valid payment method information.
Should automatic billing fail to occur for any reason, the Company will issue an electronic invoice indicating that You must proceed manually, within fourteen (14) days of the invoice date, with the full payment corresponding to the billing period as indicated on the invoice.
2.4 Price Changes
The Company may change Subscription fees at any time. If a price change applies to Your Subscription, the Company will provide You with at least thirty (30) days’ prior notice. Price changes will take effect at the start of the next Subscription period following the date of the price change. By continuing to use the Service after the price change takes effect, You agree to pay the modified fee. If You do not agree to the price change, You may cancel Your Subscription before the change takes effect.
2.5 Free Plans and Trials
Certain features of the Service may be available at no charge or on a trial basis (“Free Plan” or “Trial”). Free and trial access is provided at the Company’s sole discretion and may be modified, limited, or discontinued at any time without prior notice. Free Plans are subject to usage limits and may not include all features available to paid Subscribers. If a Trial converts to a paid Subscription, You will be notified and billed according to the terms of the Subscription plan You select. Free Plans and Trials are provided “AS IS” without any service level commitment or uptime guarantee.
2.6 Refunds
Except when required by law, paid Subscription fees are non-refundable. Certain refund requests for Subscriptions may be considered by the Company on a case-by-case basis and granted at the sole discretion of the Company.
If You are a consumer in the European Union, You have the right to withdraw from a subscription within 14 days of purchase without giving any reason, in accordance with the EU Consumer Rights Directive. To exercise this right, You must inform us of Your decision by contacting us at contact@mixflow.ai before the 14-day period expires. By using the Service before the withdrawal period ends, You acknowledge that You have given prior express consent to begin performance and that You may lose the right of withdrawal once the Service has been fully performed.
3. User Accounts
You must be at least 16 years of age to use the Service. By creating an account, You represent and warrant that You are at least 16 years old. If You are under 18, You represent that You have Your parent’s or legal guardian’s permission to use the Service.
When You create an account with Us, You must provide Us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of Your account on Our Service.
You are responsible for safeguarding the password that You use to access the Service and for any activities or actions under Your password, whether Your password is with Our Service or a Third-Party Social Media Service.
You agree not to disclose Your password to any third party. You must notify Us immediately upon becoming aware of any breach of security or unauthorized use of Your account.
Your account credentials are personal and non-transferable. You may not share Your login credentials with, or allow access to Your account by, any other individual. Each individual who uses the Service must have their own account. The use of automated credential-sharing tools or services is prohibited. The Company may require multi-factor authentication at its discretion. If the Company reasonably believes that account sharing is occurring, the Company may suspend or terminate the account.
You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than You without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.
4. Content
4.1 Your Right to Post Content
Our Service allows You to post Content. You are responsible for the Content that You post to the Service, including its legality, reliability, and appropriateness.
By posting Content to the Service, You grant Us a limited, non-exclusive license to use, process, and store such Content solely as necessary to provide, maintain, and improve the Service for You. This includes sending Your Content to third-party AI providers for processing as described in our Privacy Policy. We will not publicly display, distribute, or use Your Content for any purpose other than providing the Service to You. You retain any and all of Your rights to any Content You submit, post or display on or through the Service and You are responsible for protecting those rights.
You represent and warrant that: (i) the Content is Yours (You own it) or You have the right to use it and grant Us the rights and license as provided in these Terms, and (ii) the posting of Your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.
4.2 Content Restrictions
The Company is not responsible for the content of the Service’s users. You expressly understand and agree that You are solely responsible for the Content and for all activity that occurs under Your account, whether done so by You or any third person using Your account.
You may not transmit any Content that is unlawful, offensive, upsetting, intended to disgust, threatening, libelous, defamatory, obscene or otherwise objectionable. Examples of such objectionable Content include, but are not limited to, the following:
- Unlawful or promoting unlawful activity.
- Defamatory, discriminatory, or mean-spirited content, including references or commentary about religion, race, sexual orientation, gender, national/ethnic origin, or other targeted groups.
- Spam, machine – or randomly – generated, constituting unauthorized or unsolicited advertising, chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling.
- Containing or installing any viruses, worms, malware, trojan horses, or other content that is designed or intended to disrupt, damage, or limit the functioning of any software, hardware or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of a third person.
- Infringing on any proprietary rights of any party, including patent, trademark, trade secret, copyright, right of publicity or other rights.
- Impersonating any person or entity including the Company and its employees or representatives.
- Violating the privacy of any third person.
- False information and features.
The Company reserves the right, but not the obligation, to, in its sole discretion, determine whether or not any Content is appropriate and complies with these Terms, refuse or remove this Content. The Company further reserves the right to make formatting and edits and change the manner of any Content. The Company can also limit or revoke the use of the Service if You post such objectionable Content. As the Company cannot control all content posted by users and/or third parties on the Service, You agree to use the Service at Your own risk. You understand that by using the Service You may be exposed to content that You may find offensive, indecent, incorrect or objectionable, and You agree that under no circumstances will the Company be liable in any way for any content, including any errors or omissions in any content, or any loss or damage of any kind incurred as a result of Your use of any content.
4.3 Content Backups
Although regular backups of Content are performed, the Company does not guarantee there will be no loss or corruption of data. Corrupt or invalid backup points may be caused by, without limitation, Content that is corrupted prior to being backed up or that changes during the time a backup is performed. The Company will provide support and attempt to troubleshoot any known or discovered issues that may affect the backups of Content. But You acknowledge that the Company has no liability related to the integrity of Content or the failure to successfully restore Content to a usable state. You agree to maintain a complete and accurate copy of any Content in a location independent of the Service.
5. Acceptable Use and Restrictions
You agree not to, and will not permit any third party to:
- Copy, modify, or create derivative works of the Service or any part thereof.
- Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code or underlying algorithms of the Service, except to the extent such restriction is prohibited by applicable law.
- Access the Service in order to build a competitive product or service, or to benchmark against a competitive product or service.
- Use any automated system, including bots, crawlers, or scrapers, to access the Service except through our published APIs.
- Sublicense, resell, rent, lease, transfer, assign, or otherwise dispose of the Service or any rights therein.
- Circumvent, disable, or otherwise interfere with security-related features of the Service or features that prevent or restrict use or copying of any Content.
- Use the Service to transmit or distribute malware, or to engage in phishing, spamming, or other fraudulent activity.
5.1 Prohibited AI Uses
In addition to the general restrictions above, You specifically agree not to use the Service to:
- Generate deepfakes, non-consensual intimate imagery, or synthetic media intended to deceive or mislead.
- Generate content that impersonates real individuals without their consent.
- Conduct automated mass content generation for spam, search engine manipulation, disinformation campaigns, or astroturfing.
- Make or support automated decisions that produce legal effects or similarly significant effects on individuals (such as employment, credit, insurance, or housing decisions) without appropriate human review and oversight.
- Attempt to extract, reverse-engineer, distill, or reconstruct the weights, training data, or architecture of any AI model accessible through the Service.
- Use the Service or its AI outputs to develop, train, or improve competing AI models or services.
- Input or process regulated data (including data protected under HIPAA, GLBA, or similar regulations) without appropriate authorization, safeguards, and a separate written agreement with the Company.
- Systematically resell, redistribute, or sublicense AI-generated outputs as a standalone product or service.
The Company does not currently offer HIPAA Business Associate Agreements (BAAs). The Service is not designed or intended for use with Protected Health Information (PHI) as defined under the Health Insurance Portability and Accountability Act (HIPAA), and should not be used for HIPAA-regulated purposes.
5.2 Monitoring
The Company reserves the right, but not the obligation, to monitor Your use of the Service for compliance with these Terms, including the acceptable use restrictions and prohibited AI uses described above. Monitoring may include automated detection of usage patterns, content review when triggered by safety systems, and investigation of reports of abuse. The Company will handle any data accessed during monitoring in accordance with our
Privacy Policy. The Company may cooperate with law enforcement authorities and comply with court orders requesting or directing the disclosure of information regarding Your use of the Service.
6. Fair Usage
Your use of the Service is subject to the usage limits associated with Your Subscription plan, including limits on AI processing requests, file storage, and other resource consumption as described on Our pricing page.
The Company reserves the right to throttle, rate-limit, or temporarily restrict Your access to the Service if Your usage is excessive, disproportionate, or risks degrading the Service for other users. Usage is considered excessive if it significantly exceeds the norms for Your Subscription plan or places unreasonable burden on the Service’s infrastructure.
If Your usage consistently exceeds plan limits, the Company may require You to upgrade to a higher-tier plan. The Company will make reasonable efforts to notify You before taking any restrictive action, except where immediate action is necessary to protect the Service or other users.
The Company is not obligated to provide unlimited or unmetered access to third-party AI models. Availability of specific AI models or features may vary based on third-party provider capacity, pricing, and terms.
7. Copyright Policy
7.1 Intellectual Property Infringement
We respect the intellectual property rights of others. It is Our policy to respond to any claim that Content posted on the Service infringes a copyright or other intellectual property infringement of any person.
If You are a copyright owner, or authorized on behalf of one, and You believe that the copyrighted work has been copied in a way that constitutes copyright infringement that is taking place through the Service, You must submit Your notice in writing to the attention of our copyright agent via email at contact@mixflow.ai and include in Your notice a detailed description of the alleged infringement.
You may be held accountable for damages (including costs and attorneys’ fees) for misrepresenting that any Content is infringing Your copyright.
7.2 DMCA Notice and DMCA Procedure for Copyright Infringement Claims
You may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) by providing our Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):
- An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright’s interest.
- A description of the copyrighted work that You claim has been infringed, including the URL (i.e., web page address) of the location where the copyrighted work exists or a copy of the copyrighted work.
- Identification of the URL or other specific location on the Service where the material that You claim is infringing is located.
- Your address, telephone number, and email address.
- A statement by You that You have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
- A statement by You, made under penalty of perjury, that the above information in Your notice is accurate and that You are the copyright owner or authorized to act on the copyright owner’s behalf.
You can contact our copyright agent via email at contact@mixflow.ai. Upon receipt of a notification, the Company will take whatever action, in its sole discretion, it deems appropriate, including removal of the challenged content from the Service.
7.3 DMCA Counter-Notification
If You believe that Content that was removed or to which access was disabled is not infringing, or that You have authorization from the copyright owner, the copyright owner’s agent, or pursuant to law, to post and use such Content, You may send a counter-notification to our Copyright Agent at
contact@mixflow.ai containing the following information:
- Your physical or electronic signature.
- Identification of the Content that has been removed or to which access has been disabled, and the location at which the Content appeared before it was removed or disabled.
- A statement by You, made under penalty of perjury, that You have a good faith belief that the Content was removed or disabled as a result of mistake or misidentification.
- Your name, address, telephone number, and email address, and a statement that You consent to the jurisdiction of the federal court located in the United States and that You will accept service of process from the person who provided notification of the alleged infringement.
If a counter-notification is received by the Copyright Agent, the Company will send a copy of the counter-notification to the original complaining party informing them that the removed Content may be restored within ten (10) business days. Unless the copyright owner files an action seeking a court order against the Content provider, the removed Content may be restored within ten (10) to fourteen (14) business days after receipt of the counter-notification, at the Company’s sole discretion.
8. Links to Other Websites
Our Service may contain links to third-party web sites or services that are not owned or controlled by the Company.
The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services. We strongly advise You to read the terms and conditions and privacy policies of any third-party web sites or services that You visit.
9. Suspension and Termination
9.1 Suspension
The Company may suspend Your access to the Service, in whole or in part, immediately and without prior notice if: (i) the Company reasonably suspects that Your account has been compromised or is being used in violation of these Terms; (ii) suspension is necessary to protect the security or integrity of the Service or other users; (iii) suspension is required to comply with applicable law or a legal process; or (iv) Your usage poses a risk of harm to the Company, the Service, or third parties.
The Company will make reasonable efforts to notify You of the suspension and the reason for it. During suspension, Your billing may continue or be paused at the Company’s discretion. Suspension does not waive the Company’s right to terminate Your account.
9.2 Termination
We may terminate Your Account immediately, without prior notice, if You breach these Terms, violate applicable law, or engage in conduct that is harmful to other users, the Company, or third parties. We may also terminate Your Account if required to do so by law or if the Company discontinues the Service.
For non-material breaches, we will provide You with fifteen (15) days’ written notice and an opportunity to cure the breach before termination, where reasonable.
Upon termination, Your right to use the Service will cease immediately. If You wish to terminate Your Account, You may do so through Your account settings or by contacting us at contact@mixflow.ai. Upon account termination, Your data will be handled in accordance with the “Account Deletion and Data Removal” section of our Privacy Policy.
10. Limitation of Liability
Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of these Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service during the twelve (12) months preceding the event giving rise to the claim, or 50 USD, whichever is greater.
To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of these Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by applicable law.
Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party’s liability will be limited to the greatest extent permitted by law.
11. “AS IS” and “AS AVAILABLE” Disclaimer
The Service is provided to You “AS IS” and “AS AVAILABLE” and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, the Company provides no warranty or undertaking, and makes no representation of any kind that the Service will meet Your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.
Without limiting the foregoing, neither the Company nor any of the Company’s providers makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, and materials or products included thereon; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.
The Company does not guarantee any specific level of uptime or availability. Unless separately agreed in a written Service Level Agreement, the Service is not subject to any uptime commitment or SLA. The Service may be temporarily unavailable due to scheduled maintenance, unscheduled maintenance, or outages of third-party providers (including AI model providers and cloud hosting providers). The Company shall not be liable for any unavailability of specific AI models or features caused by third-party provider limitations.
Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You. But in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.
12. AI-Generated Content
The Service uses third-party artificial intelligence models to process Your Content and generate outputs. You acknowledge and agree that:
- AI-generated outputs may be inaccurate, incomplete, or misleading. You are solely responsible for reviewing, verifying, and validating any AI-generated output before relying on it.
- The Company does not guarantee the accuracy, reliability, or suitability of any AI-generated content for any particular purpose.
- You shall not use AI-generated outputs in any manner that violates applicable laws, regulations, or the rights of third parties.
- AI-generated outputs may be similar or identical to outputs generated for other users. The Company does not claim, and You shall not claim, that AI-generated outputs are unique or original.
- The Company makes no representation regarding the intellectual property status of AI-generated outputs. You are solely responsible for determining whether any AI-generated output is protectable under intellectual property law and whether it infringes the rights of any third party.
- As between You and the Company, the Company claims no ownership of AI-generated outputs. You are solely responsible for AI-generated outputs and how You use them.
- AI-generated outputs do not constitute legal, medical, financial, tax, accounting, or other professional advice. You should not rely on AI-generated outputs as a substitute for consultation with qualified professionals. The Company disclaims all liability for any actions taken or decisions made based on AI-generated outputs.
12.1 Third-Party AI Provider Terms
Your use of the Service is also subject to the acceptable use policies and terms of service of the third-party AI providers whose models power the Service (including OpenAI, Anthropic, and Google). These policies are available on each provider’s website. You agree to comply with all applicable third-party AI provider terms. The Company reserves the right to suspend or terminate Your access if Your use of the Service violates any third-party AI provider’s terms, as such violations may jeopardize the Company’s access to AI services for all users.
12.2 AI Agent Credits
The Service may offer “AI Agent Credits” as a benefit included with subscription plans. AI Agent Credits are a Company-defined unit of value redeemable through the Service for access to third-party AI provider APIs, hosting, request routing, support, and other Service infrastructure. By subscribing to a plan that includes AI Agent Credits, You acknowledge and agree that:
- Unit of value. AI Agent Credits represent a Company-defined unit and are not equivalent to, denominated in, or convertible to any third-party AI provider’s credits, tokens, or pricing. The displayed dollar amount reflects the Company’s stated value of the benefit and includes the cost of underlying third-party AI provider usage, hosting, routing, support, and other Service infrastructure.
- Consumption rate. The rate at which AI Agent Credits are consumed by Your activity is determined by the Company and may vary by model, request type, infrastructure load, or other factors. The Company makes no representation that each dollar of AI Agent Credits corresponds one-to-one with a dollar of any third-party AI provider’s retail pricing.
- No cash value. AI Agent Credits have no cash value and are non-transferable. The Company is not obligated to refund any unused portion upon cancellation, expiration, or termination of the subscription, except as required by applicable law.
- Fair use and modification. AI Agent Credits are subject to the fair use provisions of these Terms. The Company reserves the right to modify the structure, value, consumption rate, or amount of AI Agent Credits upon reasonable notice, including suspending or revoking credits in cases of suspected fraud, abuse, or violation of these Terms.
- Subscription cancellation. Cancellation of Your subscription will immediately revoke any remaining AI Agent Credits and Your associated API keys, except as required by applicable consumer protection law.
All marketing references to specific dollar amounts of AI Agent Credits (for example “$400 AI Agent Credits”) describe the displayed value of the benefit as defined by the Company in accordance with this Section 12.2. By subscribing, You confirm You have read, understood, and accept these terms.
13. Indemnification
You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (i) Your use of and access to the Service; (ii) Your violation of any term of these Terms; (iii) Your violation of any third-party right, including any intellectual property, privacy, or proprietary right; (iv) any Content You upload, post, or otherwise make available through the Service; or (v) any claim arising from Your use, distribution, or reliance on AI-generated outputs, including claims that such outputs infringe third-party intellectual property rights, defame any individual, or cause harm when relied upon without independent verification.
The Company will provide You with prompt written notice of any such claim. You shall cooperate fully with the Company in the defense of any such claim. The Company reserves the right, at Your expense, to assume the exclusive defense and control of any matter subject to indemnification by You.
14. Dispute Resolution and Arbitration
14.1 Informal Resolution
If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting us at
contact@mixflow.ai. We will attempt to resolve the dispute informally within 30 days.
14.2 Binding Arbitration
If the dispute cannot be resolved informally, You and the Company agree to resolve any claims relating to these Terms or the Service through final and binding arbitration, except as set forth below. The arbitration shall be conducted under the Consumer Arbitration Rules of the American Arbitration Association (AAA) for claims brought by individuals, or the Commercial Arbitration Rules for claims brought by entities. The arbitration will be conducted in English and may be conducted remotely by videoconference where possible. The arbitrator’s decision shall be final and enforceable in any court of competent jurisdiction.
For claims of $10,000 USD or less brought by an individual consumer, the Company will pay all AAA filing and arbitrator fees. For claims exceeding $10,000, fees shall be allocated in accordance with the applicable AAA rules.
14.3 Class Action Waiver
YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding.
14.4 Exceptions
Nothing in this section shall prevent either party from (i) seeking injunctive or other equitable relief in court for matters related to intellectual property rights or unauthorized access to the Service, or (ii) bringing individual claims in small claims court, if the claims qualify.
14.5 Mass and Serial Arbitration
If twenty-five (25) or more similar claims are filed against the Company within a sixty (60) day period by the same law firm or coordinated group of claimants (“Mass Arbitration”), the following procedures apply:
- The parties agree that any Mass Arbitration shall be administered by a single arbitration provider, using that provider’s mass arbitration procedures (or, if none exist, the provider’s standard procedures as modified by this section).
- A bellwether process shall be used: up to ten (10) cases shall be selected at random for initial arbitration. The remaining cases shall be stayed pending the resolution of the bellwether cases. After the bellwether cases are resolved, the parties shall engage in a single global mediation of all remaining cases before a retired judge or mediator agreed upon by the parties.
- If the mediation does not result in a global resolution within sixty (60) days, the remaining cases may proceed in individual arbitration in batches of no more than fifty (50) at a time.
- The Company’s obligation to pay filing and arbitrator fees under Section 14.2 applies only to individual claims filed in good faith — not to claims filed as part of a coordinated campaign where the primary purpose is to impose disproportionate arbitration costs on the Company rather than to resolve a genuine individual dispute.
- The arbitrator shall have authority to determine whether a claim has been filed in good faith and to sanction any party or counsel that files frivolous, duplicative, or bad-faith claims.
This section does not limit any individual claimant’s substantive rights or remedies. Claimants participating in a Mass Arbitration retain all rights under these Terms, including the right to opt out under Section 14.6.
14.6 Right to Opt Out
You may opt out of the arbitration and class action waiver provisions in Sections 14.2 and 14.3 by sending written notice to
contact@mixflow.ai within thirty (30) days of first accepting these Terms. Your notice must include Your name, the email address associated with Your account, and a clear statement that You wish to opt out of the arbitration and class action waiver provisions. If You opt out, all disputes will be resolved in the courts specified in Section 15.1. Opting out of arbitration will not affect any other provisions of these Terms, including the Mass Arbitration provisions in Section 14.5 if applicable.
15. Governing Law
The laws of the State of Delaware, United States, without regard to its conflict of law provisions, shall govern these Terms and Your use of the Service. Your use of the Service may also be subject to other local, state, national, or international laws.
15.1 Venue
For any dispute not subject to the arbitration provisions in Section 14, the exclusive venue and jurisdiction shall be the state and federal courts located in the State of Delaware. Both parties consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.
16. For European Union (EU) and United Kingdom (UK) Users
If You are a consumer in the European Union or the United Kingdom, You will benefit from any mandatory provisions of the law of the country in which You are resident. The arbitration and class action waiver provisions in Section 14, the limitation of liability provisions in Section 10, the warranty disclaimers in Section 11, the indemnification provisions in Section 13, and the termination provisions in Section 9 shall not apply to the extent they conflict with mandatory consumer protection laws applicable to You.
17. United States Federal Government End Use Provisions
If You are a U.S. federal government end user, our Service is a “Commercial Item” as that term is defined at 48 C.F.R. §2.101.
18. United States Legal Compliance
You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a “State Sponsor of Terrorism,” and (ii) You are not listed on any United States government list of prohibited or restricted parties.
19. Your Regulatory Compliance
You are solely responsible for ensuring that Your use of the Service, including any AI-generated outputs, complies with all applicable laws, regulations, and industry standards in Your jurisdiction. This includes, but is not limited to, data protection laws (such as GDPR and CCPA), consumer protection regulations, intellectual property laws, and any applicable AI-specific regulations (such as the EU Artificial Intelligence Act). The Company does not provide legal, regulatory, or compliance advice and makes no representation that the Service or its outputs comply with any specific regulatory framework. If You are subject to industry-specific regulations (such as financial services, healthcare, or legal), You are responsible for determining whether and how the Service may be used in compliance with those regulations.
20. Force Majeure
The Company shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the Company’s reasonable control, including but not limited to natural disasters, acts of government, power failures, internet or telecommunications outages, failures of third-party service providers (including AI model providers and cloud hosting providers), pandemics, or acts of terrorism.
21. Service Modifications
The Company reserves the right, at any time and without liability, to modify, update, or discontinue any feature or functionality of the Service, including but not limited to the AI models or providers used by the Service, usage limits, and available integrations. For material changes that adversely affect paid Subscribers, the Company will provide reasonable prior notice. Continued use of the Service after such changes constitutes acceptance. If You do not agree with a material change, Your sole remedy is to cancel Your Subscription.
22. Beta and Preview Features
The Company may offer certain features, services, or functionality designated as “Beta,” “Preview,” “Early Access,” or similar labels (“Beta Features”). Beta Features are provided for evaluation purposes and may be modified, suspended, or discontinued at any time without notice.
Beta Features are provided “AS IS” without warranty of any kind, and any applicable service level commitments, uptime guarantees, or support obligations do not apply to Beta Features.
